ProLogis To Offer 80 Million Common Shares
DENVER, Oct. 25 /PRNewswire-FirstCall/ -- ProLogis (NYSE: PLD), the leading global provider of distribution facilities, today announced it intends to offer 80 million common shares in a registered public offering. The company also plans to grant the underwriters a 30-day option to purchase up to 12 million additional shares to cover overallotments, if any. BofA Merrill Lynch, Morgan Stanley, Goldman, Sachs & Co. and J.P. Morgan are acting as joint bookrunners for the proposed offering. ProLogis intends to use the net proceeds from the sale of the common shares to repay borrowings under its global line of credit. ProLogis will apply any remaining net proceeds, together with amounts reborrowed under its global line of credit, for the repayment or repurchase of outstanding indebtedness (including the repayment of the approximately $190 million outstanding principal amount of its 5.25 percent notes due November 15, 2010, and which may include the cash purchase, through tender or otherwise, of certain of its senior notes and/or convertible senior notes) and for general corporate purposes.
