Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 15, 2020, our board of directors appointed Avid Modjtabai as an independent director to our board and an independent member of our audit committee
, effective February 20, 2020.
 Our board has determined that Ms. Modjtabai is independent in accordance with applicable New York Stock Exchange and Securities and Exchange Commission rules and regulations.
As an independent director, Ms. Modjtabai is eligible to participate in the Prologis, Inc. 2012 Long-term Incentive Plan or any successor plan thereto (the “LTIP”). Ms. Modjtabai, as a
non-employee
director, will receive an annual deferred stock unit grant valued at $190,000 (the terms of which will be governed by our Director Deferred Stock Unit Award Terms under the LTIP), an annual cash retainer of $120,000 and additional cash retainers for service on any board committees and for board meetings in excess of a combined twenty board and board committee meetings per year.
Philip Hawkins, one of our directors, has taken a position as executive chairman of Link Industrial Properties, Blackstone’s U.S. industrial real estate portfolio company. As a result of his new position, Mr. Hawkins has decided to step down from our board. His resignation is effective on January 15, 2020.
