FOR THE 2013 ANNUAL MEETING OF STOCKHOLDERS OF PROLOGIS, INC.

Appointment of Proxy Solicitor
Subsequent to filing and mailing the Proxy Statement for the 2013 Annual Meeting of Stockholders of Prologis, Inc. (“Prologis”) to be held on May 2, 2013, Prologis engaged MacKenzie Partners, Inc. (“MacKenzie”) to assist it in soliciting proxies personally, electronically or by telephone. Prologis has agreed to pay MacKenzie $15,000 plus reasonable expenses for these services. Prologis has also agreed to indemnify MacKenzie and its employees against certain liabilities arising from or in connection with the engagement.
