(1) DENVER — March 30, 2001 — ProLogis (NYSE: PLD) called for redemption all of its outstanding Series
A Cumulative Redeemable Preferred Shares of Beneficial Interest (the “Series
A Preferred Shares”), at the price of $25.00 per share, plus $0.2481
in accrued and unpaid dividends, for an aggregate redemption price of
$25.2481 per Series A Preferred Share (the “Redemption Price”).
The Redemption Date will be May 8, 2001. From the Redemption Date forward,
dividends on the Series A Preferred Shares will no longer accrue and holders
of the Series A Preferred Shares will have no rights as such holders other
than the right to receive the Redemption Price, without interest, upon
surrender of the Series A Preferred Shares. Click here to return to "PREFERRED A" (2) DENVER — March 1, 2001 – ProLogis (NYSE: PLD) announced that on February 20, 2001, notice was given that ProLogis has called for the redemption of, and will redeem on March 20, 2001 (the “Redemption Date”), all of its outstanding Series B Cumulative Convertible Redeemable preferred shares (the “Series B preferred shares”). ProLogis’ Board declared a dividend of $0.442 per Series B preferred share to shareholders of record on March 15, 2001. On the Redemption Date, ProLogis will redeem all of its outstanding Series B preferred shares for the price of $25.00 per share, plus $0.442 in accrued and unpaid dividends. The $0.442 in accrued and unpaid dividends represents the full dividend payable through March 30, 2001. From March 20, 2001 forward, dividends on the Series B preferred shares will no longer accrue and holders of the Series B preferred shares will not have any rights as holders other than the right to receive $25.442 per share upon the surrender of the shares. In addition, prior to the close of business on March 13, 2001, the Series B preferred shares may be converted into common shares at a conversion price of $19.50 per share. If a holder converts its Series B preferred shares into common shares, the holder will not be entitled to accrued and unpaid dividends on its Series B preferred shares for the period prior to the date of such conversion. From July 1, 2003 forward, dividends on the Series E Preferred Shares will no longer accrue and any remaining record holders of the Series E Preferred Shares will have no rights as such holders other than the right to receive the Redemption Price, without interest, upon surrender of the Series E Preferred Shares. The Notice of Redemption and related materials were mailed to record holders of the Series E Preferred Shares on May 30, 2003. The company has a total of $250,000 of Series D Preferred Shares outstanding. From the Redemption Date forward, dividends on the portion of Series D Preferred Shares redeemed will no longer accrue and holders of those Series D Preferred Shares will have no rights as such holders other than to receive the Redemption Price, without interest, upon surrender of that portion of the Series D Preferred Shares.
